1. Acceptance of Terms
By downloading, installing, or using the Poise mobile application ("App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute a legal agreement between you ("User," "you," or "your") and TechBasi LLC ("Company," "we," "our," or "us").
2. Description of Service
Poise is a guided breathing exercise application that provides:
- Guided breathing exercises with visual cues
- Multiple breathing patterns (Box Breathing, 4-7-8, and more)
- Session customization (duration, pace, pattern)
- Progress tracking and session history
- Customizable breathing reminders
The App operates entirely offline and does not require an internet connection for core functionality.
3. License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Download and install the App on mobile devices you own or control
- Use the App for personal, non-commercial purposes
This license does not allow you to:
- Modify, reverse engineer, decompile, or disassemble the App
- Rent, lease, lend, sell, or sublicense the App
- Copy, distribute, or make the App available over a network
- Remove, alter, or obscure any proprietary notices in the App
4. Intellectual Property Rights
4.1 App Ownership
The App, including its design, features, functionality, code, graphics, user interface, and all related intellectual property, is owned by TechBasi LLC and is protected by copyright, trademark, and other intellectual property laws.
4.2 User Content
Any data you create within the App (such as breathing session data and custom settings) remains on your device. You retain any rights you may have in your data, but you grant us no rights because we do not access, collect, or store your data.
5. Disclaimers
5.1 "As Is" Basis
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
5.2 No Guarantee of Results
Poise is a tool to help you practice breathing exercises. We do not guarantee specific health outcomes from using the App. Success in building a mindfulness practice depends on your own efforts, consistency, and many factors beyond our control.
5.3 No Professional Advice
The App does not provide medical, psychological, therapeutic, or health advice of any kind. Breathing exercises are general wellness tools and should not replace professional treatment for anxiety, respiratory conditions, or other health concerns. Always seek the advice of qualified healthcare professionals for specific medical concerns.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TECHBASI LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE APP.
7. Indemnification
You agree to indemnify, defend, and hold harmless TechBasi LLC from and against any claims, liabilities, damages, losses, costs, or expenses arising out of or related to your use of the App or violation of these Terms.
8. Termination
You may terminate your use of the App at any time by uninstalling it from your devices. We reserve the right to terminate or suspend your access to the App at any time for conduct that violates these Terms.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.
