Terms of Use for Motivare

1. Acceptance of Terms

By downloading, installing, or using Motivare ("the App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not download, install, or use the App. These Terms constitute a legal agreement between you ("User" or "you") and TechBasi LLC ("we," "our," or "us").

2. Description of Service

Motivare is a discipline-focused motivational quote application that provides:

  • Daily Curated Quotes — Five motivational quotes selected each day using a deterministic algorithm, ensuring the same quotes are displayed for all users globally on any given date
  • Favorites — The ability to save and manage your favorite quotes
  • Home Screen Widgets — Widgets for iOS (WidgetKit) displaying daily quotes
  • Apple Watch Support — A companion watch app, tiles, and complications for Apple Watch
  • Customizable Themes — Three premium visual themes (Clean Light, Deep Focus, Warm Sunrise) with multiple background color variations
  • Daily Reminders — Optional local notifications to remind you to read your daily quotes
  • Quote Sharing — The ability to share quotes via your device's native share functionality

The App operates entirely offline and does not require an internet connection for core functionality.

3. License Grant

TechBasi LLC grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on devices that you own or control, solely for your personal, non-commercial purposes and in accordance with these Terms.

You may not:

  • Modify, adapt, translate, reverse engineer, decompile, or disassemble the App
  • Rent, lease, loan, sell, sublicense, or distribute the App to any third party
  • Copy, reproduce, or create derivative works based on the App
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the App
  • Use the App for any commercial purpose without prior written consent from TechBasi LLC
  • Use automated systems or software to extract data from the App

4. Intellectual Property Rights

The App, including but not limited to its design, features, functionality, code, graphics, user interface, visual elements, and all related intellectual property, is owned by TechBasi LLC and is protected by applicable intellectual property laws.

Motivational quotes displayed in the App are curated for inspirational purposes. Many quotes are in the public domain or are general wisdom sayings not attributable to a specific author. Where quotes are attributable, they are used for educational and inspirational purposes.

Your favorited quotes and preferences remain stored locally on your device. TechBasi LLC does not access, collect, or store your personal data or usage information.

5. User Conduct

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the App in violation of any applicable local, state, national, or international law or regulation
  • Attempt to gain unauthorized access to any portion of the App or its related systems
  • Introduce viruses, malware, or other harmful code to the App or connected systems
  • Infringe upon the rights of others in connection with your use of the App
  • Create derivative works or competing products based on the App without authorization
  • Interfere with or disrupt the integrity or performance of the App

6. Updates and Modifications

TechBasi LLC may, from time to time, release updates to the App that may include new features, bug fixes, security patches, or performance improvements. These updates may be required for continued use of the App.

TechBasi LLC reserves the right to modify these Terms at any time. Updated Terms will be reflected by a new "Last Updated" date. Your continued use of the App after any changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

7. Disclaimers

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TechBasi LLC does not warrant that:

  • The App will meet your specific requirements
  • The App will be uninterrupted, timely, secure, or error-free
  • The results obtained from the use of the App will be accurate or reliable
  • Any defects in the App will be corrected

The motivational content provided in the App is intended for general inspirational purposes only and does not constitute professional advice of any kind (including but not limited to medical, psychological, financial, or legal advice). No guarantees are made regarding the effectiveness or suitability of the content for any particular purpose.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TECHBASI LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the App
  • Any conduct or content of any third party related to the App
  • Any content obtained from the App
  • Unauthorized access, use, or alteration of your data or content

IN NO EVENT SHALL TECHBASI LLC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APP EXCEED THE GREATER OF FIFTY U.S. DOLLARS ($50.00) OR THE AMOUNT YOU PAID TO TECHBASI LLC FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless TechBasi LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorney's fees) arising from:

  • Your use of and access to the App
  • Your violation of any provision of these Terms
  • Your violation of any third-party right, including any intellectual property or privacy right

10. Third-Party Platforms

The App may be available for download through third-party platforms, including the Apple App Store. Your use of these platforms is subject to their respective terms and conditions. TechBasi LLC is not responsible for:

  • The terms, policies, or practices of any third-party platform
  • Device manufacturer limitations or incompatibilities
  • Operating system issues or restrictions
  • Third-party platform outages or availability

11. Termination

You may terminate your use of the App at any time by uninstalling it from your device(s). All locally stored data will be deleted upon uninstallation (or can be cleared through your device's system settings).

TechBasi LLC reserves the right to terminate or suspend your access to the App at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your license to use the App is immediately revoked.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware and the United States of America, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to the personal jurisdiction of such courts.

13. Dispute Resolution

Informal Resolution: Before filing any legal claim, you agree to first contact us at info@techbasi.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email. If a dispute is not resolved within thirty (30) days of submission, either party may proceed to binding arbitration.

Binding Arbitration: Any dispute arising from these Terms or your use of the App that cannot be resolved informally shall be resolved by binding arbitration under the rules of the American Arbitration Association ("AAA"). The arbitration shall be conducted in the English language and shall take place in Delaware or remotely, at the mutual agreement of the parties.

Class Action Waiver: YOU AGREE THAT ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE APP MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.

14. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and TechBasi LLC regarding the App and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
  • Waiver: The failure of TechBasi LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: TechBasi LLC may assign or transfer its rights and obligations under these Terms without restriction. You may not assign or transfer your rights or obligations without the prior written consent of TechBasi LLC.
  • Headings: The section headings in these Terms are for convenience only and have no legal or contractual effect.

15. Apple-Specific Terms

If you downloaded the App from the Apple App Store, the following additional terms apply:

  • These Terms are between you and TechBasi LLC, not Apple Inc. ("Apple"). TechBasi LLC, not Apple, is solely responsible for the App and its content.
  • Apple has no obligation to provide any maintenance or support services for the App.
  • In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). Apple has no other warranty obligation with respect to the App.
  • Apple is not responsible for addressing any claims relating to the App, including product liability claims, regulatory compliance, or intellectual property infringement.
  • In the event of any third-party claim that the App infringes that third party's intellectual property rights, TechBasi LLC, not Apple, is responsible for the investigation, defense, settlement, and discharge of such claim.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms, and Apple will have the right to enforce these Terms against you as a third-party beneficiary.
  • You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
