Terms of Use for Motivare

1. Acceptance of Terms

By downloading, installing, or using the Motivare mobile application ("App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute a legal agreement between you ("User," "you," or "your") and TechBasi LLC ("Company," "we," "our," or "us").

2. Description of Service

Motivare is a motivational quote application that provides:

  • Daily curated motivational quotes
  • Ability to save favorite quotes
  • Home screen widgets for iOS and Android
  • Apple Watch and Wear OS companion experiences
  • Customizable themes and visual preferences
  • Optional daily reminder notifications

The App operates entirely offline and does not require an internet connection for core functionality.

3. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install the App on mobile devices you own or control
  • Use the App for personal, non-commercial purposes

This license does not allow you to:

  • Modify, reverse engineer, decompile, or disassemble the App
  • Rent, lease, lend, sell, or sublicense the App
  • Copy, distribute, or make the App available over a network where it could be used by multiple devices at the same time
  • Remove, alter, or obscure any proprietary notices in the App

4. Intellectual Property Rights

4.1 App Ownership

The App, including its design, features, functionality, code, graphics, user interface, and all related intellectual property, is owned by TechBasi LLC and is protected by copyright, trademark, and other intellectual property laws.

4.2 Quote Content

The motivational quotes displayed in the App are curated for inspirational purposes. Many quotes are in the public domain or are general wisdom sayings. Where applicable, attribution is provided. The selection, arrangement, and presentation of quotes within the App is proprietary to TechBasi LLC.

4.3 User Content

Any data you create within the App (such as favoriting quotes) remains on your device. You retain any rights you may have in your usage data, but you grant us no rights because we do not access, collect, or store your data.

5. User Conduct

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the App in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to the App's systems or networks
  • Introduce viruses, malware, or other harmful code
  • Use the App to infringe on the rights of others
  • Reproduce, distribute, or create derivative works from the App without authorization

6. Updates and Modifications

6.1 App Updates

We may release updates to the App from time to time to add features, fix bugs, or improve performance. You are encouraged to keep the App updated to the latest version for the best experience.

6.2 Terms Modifications

We reserve the right to modify these Terms at any time. Changes will be effective when posted within the App or on our website. Your continued use of the App after changes constitutes acceptance of the modified Terms.

7. Disclaimers

7.1 "As Is" Basis

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS OF CONTENT

7.2 No Professional Advice

The motivational quotes and content in the App are for general inspirational purposes only. They do not constitute professional advice of any kind, including but not limited to psychological, medical, financial, or legal advice. Always seek the advice of qualified professionals for specific concerns.

7.3 No Guarantee of Results

We make no guarantees regarding the effectiveness of the motivational content. Results from using the App will vary based on individual circumstances.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

8.1 No Consequential Damages

IN NO EVENT SHALL TECHBASI LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or goodwill
  • Service interruption
  • Device damage
  • Cost of substitute services

WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP, OR FIFTY DOLLARS ($50 USD), WHICHEVER IS GREATER.

8.3 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

9. Indemnification

You agree to indemnify, defend, and hold harmless TechBasi LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any rights of another party

10. Third-Party Platforms

10.1 App Stores

The App may be downloaded through third-party platforms such as the Apple App Store or Google Play Store. Your use of these platforms is subject to their respective terms and conditions. We are not responsible for these platforms.

10.2 Device Manufacturers

The App's functionality depends on your device's operating system and hardware. We are not responsible for limitations, bugs, or issues caused by device manufacturers or operating system providers.

11. Termination

11.1 Your Right to Terminate

You may terminate your use of the App at any time by uninstalling it from your devices.

11.2 Our Right to Terminate

We reserve the right to terminate or suspend your access to the App at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

11.3 Effect of Termination

Upon termination, your license to use the App is revoked. Sections 4, 7, 8, 9, and 12-15 shall survive termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any legal claim, you agree to contact us at info@techbasi.com and attempt to resolve the dispute informally for at least 30 days.

13.2 Binding Arbitration

If informal resolution fails, any dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

13.3 Class Action Waiver

YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TechBasi LLC regarding the App.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

14.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights, except that Apple and Google are third-party beneficiaries of these Terms with respect to the App distributed through their respective stores.

15. Apple-Specific Terms

If you download the App from the Apple App Store, the following additional terms apply:

  • These Terms are between you and TechBasi LLC, not Apple Inc.
  • Apple has no obligation to provide maintenance or support for the App
  • Apple is not responsible for any product warranties, whether express or implied
  • Apple is not responsible for addressing any claims related to the App
  • Apple is a third-party beneficiary of these Terms and may enforce them against you
